The first sentence is a deal count, not a sentiment

A group head reads the opening line to place your level. Keep the same discipline you use on the deal sheet. Closed means closed. If the count is small because you are early, give the process count and the closed count separately rather than inflating either.

Then name the sector. Coverage is how banking is organized, and a group hiring in industrials wants to know in the first line whether you already speak the sector or would be learning it.

What you may say about a deal, and what you may not

This paragraph is the one that can cost you more than the job, so it is worth being exact.

You may discuss only announced transactions. Work on a live or unannounced process is material non-public information, and every registered broker-dealer is required by statute to "establish, maintain, and enforce written policies and procedures reasonably designed" to prevent its misuse by the firm or anyone associated with it (Exchange Act section 15(g), 15 U.S.C. 78o(g)). Those firm policies govern what you may write in a letter to another bank.

Do

Name closed count and aggregate announced value in the opening. Pick one announced transaction and say exactly what you produced on it. Name the counterparties only as far as the announcement did, and otherwise describe the business and sector. Reference a real, published transaction of theirs. Label your registrations exactly as held.

The Bureau of Labor Statistics publishes no Occupational Outlook Handbook profile for investment banker. The Handbook describes the work inside the profile for securities, commodities and financial services sales agents, stating that "Investment bankers connect businesses that need money to finance their operations or expansion plans with investors who are interested in providing that funding" (BLS Occupational Outlook Handbook, May 2025).

That occupation held 531,000 jobs in 2025 with a median annual wage of $78,660, but it also contains retail brokers and traders. The two brackets worth reading alongside it are financial analysts, 443,100 jobs and a median of $103,570, and financial managers, 879,700 jobs and a median of $166,570, which is where senior transaction roles are banded (BLS Occupational Outlook Handbook, May 2025 and 2025-35 projections).

None of those figures captures the year-end bonus. Bureau wages are "straight-time, gross pay, exclusive of premium pay" and exclude non-production bonuses (BLS Occupational Employment and Wage Statistics, accessed September 2026). Since no federal source publishes the bonus, do not let a letter or a page imply a total number that nobody has published.

Coming into banking from another seat

In addition, transaction services, valuation, corporate development, restructuring, credit and law all produce candidates who move into banking, and the letter does most of the work in those moves.

Therefore, translate your record into the same units. Number of engagements, size range, side, sector and your role are the fields a banking reader expects, and a diligence or valuation practice has all of them. "Worked on 22 buy side diligence engagements between $40 million and $600 million, leading quality of earnings analysis on 9" reads as transaction experience because it is.

Then say plainly what you have not done, and what you would take on. After all, a group head hiring a lateral is pricing the gap between what you can do now and what a banker at that level does. A letter that names the gap accurately is a far better bet than one that hopes nobody notices it.

Length, format and sending it

Do banks even read cover letters?

Some groups do and some do not, and you cannot tell which from outside. Send one whenever there is a field for it. It costs twenty minutes and it is the only place you can explain a sector move, a lateral, or why this group rather than the four others hiring at your level.

How do I write about a deal that was never announced?

You do not. Live and unannounced process work is material non-public information, and broker-dealers are required to maintain written policies to prevent its misuse (Exchange Act section 15(g)). Describe your experience by sector, side and process type instead, and use an announced transaction for the detailed paragraph.

Should I mention the Series 79 if I do not have it?

Say what you do have. The Investment Banking Representative registration requires passing both the SIE and the Series 79, and candidates "must be associated with and sponsored by a FINRA member firm" to sit representative-level exams, so nobody expects an outside candidate to hold it (FINRA, accessed September 2026). If you have passed the SIE, which needs no firm association, say so.

Write your record in banking units: engagement count, size range, side, sector, and what you personally produced. Then name the gap between that and the seat, and say how you would close it. A letter that is honest about the distance is more persuasive than one that pretends there is none.
